C.O.Y., Incorporated is committed to providing high-quality professional services. This Refund Policy explains our refund and cancellation terms for business formation services, tax preparation services, and consulting services.

By engaging our services, you acknowledge and agree to this Refund Policy.

General Refund Policy

Services Are Non-Refundable Once Rendered

As a professional services firm, our services are generally non-refundable once work has been performed. This is because:

Professional services are delivered through time, expertise, and intellectual work that cannot be "returned"

Once we begin work, we invest time and resources that cannot be recovered

Documents prepared, filings submitted, and advice provided have lasting value

Our services are customized to your specific situation and cannot be resold

This is standard practice for professional services firms (lawyers, accountants, consultants, etc.) and is necessary for us to maintain sustainable operations.

When Refunds Are Available

Refunds are only provided in the following limited circumstances:

1. Services Not Rendered

If we are unable to provide the services you paid for due to circumstances on our end (e.g., staffing issues, inability to complete work, business closure), we will provide a full refund of any fees paid for services not yet performed.

Examples:

  • You paid for business formation, but we never started the work and cannot complete it

  • You paid for tax preparation, but we are unable to complete your return

  • We cancel services due to an unforeseen business issue

2. Pre-Work Cancellation

If you cancel before we begin any work, you may receive a refund minus a $97 administrative fee to cover intake processing, consultation time, and setup.

What qualifies as "before work begins":

  • We have not yet started drafting documents

  • We have not yet filed anything with state agencies or the IRS

  • We have not yet conducted consultations or provided advice (beyond initial free consultation)

  • We have not yet reviewed your information or begun analysis

To cancel before work begins:

  • Contact us in writing at hello@coyservices.com

  • Include your name, service purchased, and reason for cancellation

  • We will process your refund (minus $97 administrative fee) within 10 business days

3. Errors or Failures on Our Part

If we make a significant error that prevents you from receiving the services you paid for, we will:

  • First: Correct the error at no additional cost

  • Second: If the error cannot be corrected, provide a refund for the portion of services affected

Examples:

  • We file formation documents with incorrect information despite receiving accurate information from you

  • We miss a critical deadline due to our error (not due to delayed information from you)

  • We provide tax advice based on clearly incorrect information that causes you harm

Note: Errors caused by incomplete, inaccurate, or delayed information from you are NOT eligible for refunds.

What Is NOT Refundable

1. Completed Services

  • Once services have been performed, they are non-refundable, including:

  • Business formation documents drafted and reviewed (even if not yet filed)

  • Tax returns prepared and reviewed (even if not yet filed)

  • Consultations conducted and advice provided

  • Research or analysis performed

  • Emails, calls, or support provided

  • Document reviews or revisions completed

  • Even if you change your mind, decide not to proceed, or are unsatisfied with the outcome, completed work is non-refundable.

2. Third-Party Fees

  • Any fees paid to third parties are non-refundable, including:

  • State filing fees (LLC formation, Corporation formation, annual reports)

  • Registered agent fees (if service period has started)

  • Expedited processing fees paid to state agencies

  • Government fees for EIN applications, certifications, or certified copies

  • Fees paid to tax authorities

These fees are paid directly to third parties and cannot be refunded by us, even if you cancel services.

3. Change of Mind or Circumstances

Refunds are NOT provided if:

  • You change your mind about starting a business

  • Your circumstances change (financial situation, partnership issues, etc.)

  • You decide to use a different service provider

  • You are unsatisfied with outcomes that are outside our control (state processing times, tax refund amounts, etc.)

  • You disagree with professional advice or recommendations we provided

  • You fail to provide required information or documents in a timely manner

4. Delayed or Incomplete Information

If delays or issues arise due to your failure to provide timely, accurate, or complete information, refunds are NOT available.

Examples:

  • You miss deadlines for providing tax documents

  • You provide incorrect business information that causes filing delays

  • You fail to respond to our requests for additional information

5. Outcomes Beyond Our Control

We cannot refund services based on outcomes we do not control:

  • State agencies reject your business name or filing

  • Your tax refund is smaller than expected

  • IRS processing times are longer than anticipated

  • You are audited or receive IRS notices (we can provide support for additional fees)

  • Business applications (bank accounts, loans, licenses) are denied

  • Service-Specific Refund Terms

  • Business Formation Services

Before Filing:

If you cancel after we've drafted documents but before we file with the state:

No refund for document preparation work completed

You will receive copies of all documents drafted

After Filing:

Once documents are filed with the state:

No refund of service fees or state filing fees

Filings cannot be "undone" — you would need to dissolve the entity separately

State Rejections:

If the state rejects your filing:

We will work with you to correct and refile at no additional service fee

Additional state filing fees (if required) are your responsibility

Service fees are non-refundable even if you choose not to refile

Registered Agent Services:

If you cancel registered agent service mid-year, no prorated refunds

You must arrange replacement registered agent before canceling

Tax Preparation Services

Before Filing:

If you cancel after we've prepared your return but before we file:

No refund for preparation work completed

You will receive a copy of the prepared return

You may file it yourself or use another preparer

After Filing:

Once your return is filed:

No refund under any circumstances

The work is complete and cannot be "returned"

Amended Returns:

If an error requires an amended return:

If the error was ours: We prepare the amendment at no charge

If the error was due to your information: Amendment is a separate service with fees

Audit Support:

Standard tax preparation does NOT include audit representation. Audit support is available for additional fees and is non-refundable once provided.

Consulting Services

Hourly Consulting:

Billed for time spent

Non-refundable once sessions are completed

Unused prepaid hours may be refunded if you cancel before using them (minus administrative fee)

Package Consulting:

Once a session or milestone is completed, that portion is non-refundable

Unused portions may be refunded on a prorated basis (minus administrative fee)

Business Plans and Custom Documents:

Non-refundable once drafts are delivered

Revisions are included as specified in your package

Additional revisions beyond your package are billed separately

Satisfaction Guarantee (What We WILL Do)

While refunds are limited, we stand behind our work:

If you're not satisfied with our work, we will:

Listen to your concerns and understand the issue

Correct errors if the issue is due to our mistake

Provide additional support to address your concerns

Revise documents within the scope of your service package

Escalate to senior team members for complex issues

Quality Standards

We commit to:

  • Delivering services with professional competence and care

  • Responding to inquiries within 24 business hours

  • Meeting deadlines and timelines as agreed (subject to your timely cooperation)

  • Providing clear communication throughout the process

  • Correcting any errors caused by our team

  • Chargebacks and Disputes

  • Credit Card Chargebacks

If you initiate a chargeback or payment dispute with your bank or credit card company:

We will provide documentation of services rendered to your bank

If the chargeback is found to be invalid, we may charge you for costs incurred defending the dispute

We may suspend or terminate services during the dispute process

Frivolous chargebacks may result in termination of services and legal action

Please contact us first before initiating a chargeback. We are committed to resolving issues directly and fairly.

Dispute Resolution

If you have a dispute regarding a refund:

We will review your case and respond within 5 business days

If we cannot resolve the issue, we may agree to mediation or arbitration

Payment Plans and Refunds

If you are on a payment plan:

  • Work is performed as payments are made

  • Refunds are only available for work not yet performed

  • Completed milestones are non-refundable

If you cancel, you remain responsible for all work completed up to the cancellation date

Example:

You sign up for a $1,500 service with 3 payments of $500. After the second payment ($1,000 paid), we've completed 70% of the work. If you cancel:

Work completed: $1,050 (70% of $1,500) — non-refundable

You would owe an additional $50, not receive a refund

How to Request a Refund

If you believe you qualify for a refund under this policy:

Service(s) purchased and date(s) of purchase

Detailed explanation of why you're requesting a refund

Step 2: Review Process

We will:

Acknowledge receipt within 2 business days

Review your request and our records

Respond with a decision within 5 business days

Step 3: Resolution

If your refund is approved:

Refunds are processed within 10 business days

Refunds are issued to the original payment method

You will receive email confirmation when processed

If your refund is denied:

We will explain why based on this policy

We will offer alternative solutions if applicable

You may request further review or escalation

Education and Training Programs

Self-Paced Courses:

14-day money-back guarantee if you've accessed less than 25% of content

After 14 days or 25% access, no refunds

Group Cohort Programs:

Refund available up to 7 days before start date (minus $97 administrative fee)

After start date: No refunds, but you may transfer to a future cohort (one time only)

VIP One-on-One Mentorship:

After the first session: Refunds available for unused sessions on a prorated basis (minus $97 administrative fee)

After 4+ sessions: No refunds

À la Carte Modules:

No refunds once the module session is completed

If you cancel before the scheduled session: Full refund minus $25 administrative fee

Special Circumstances

Extenuating Circumstances

In rare cases of extreme hardship (serious illness, death in family, natural disaster, etc.), we may consider refunds on a case-by-case basis at our sole discretion.

To request consideration:

Contact us with documentation of the circumstances

Explain why you cannot use or complete the services

We will review and respond within 7 business days

Note: Approval is not guaranteed and is at our sole discretion.

Service Transfers

In some cases, we may allow you to transfer services instead of refunding:

Transfer to a different service of equal or lesser value

Transfer to another person (with our approval)

Postpone services to a later date (for time-sensitive services)

Transfers are subject to:

Availability and approval

Administrative fees may apply

Must be requested within 30 days of original purchase
